Quyết định số 127/1999/QĐ-BTC ban hành ngày 22 tháng 10 năm 1999 bởi Bộ Tài chính là văn bản pháp lý quan trọng đặt nền móng cho việc quản lý tài chính trong lĩnh vực chứng khoán tại Việt Nam. Văn bản này quy định chi tiết về khung phí và lệ phí áp dụng cho các hoạt động trên thị trường chứng khoán, nhằm tạo hành lang pháp lý minh bạch và thúc đẩy sự phát triển ổn định của thị trường. - Ban hành khung phí và lệ phí hoạt động thị trường chứng khoán (Điều 1)
- Quyết định chính thức ban hành kèm theo biểu khung phí và lệ phí áp dụng cho các hoạt động phát hành, giao dịch và dịch vụ chứng khoán tại Việt Nam.
- Khung phí này đóng vai trò là căn cứ pháp lý để các cơ quan quản lý và các tổ chức kinh doanh dịch vụ chứng khoán thực hiện thu, nộp ngân sách theo đúng quy định.
- Các loại phí và lệ phí được thiết kế nhằm bao quát toàn bộ các hoạt động cốt lõi của thị trường, từ khâu cấp phép, đăng ký niêm yết cho đến các giao dịch mua bán hàng ngày.
- Đối tượng áp dụng và phạm vi điều chỉnh (Điều 2)
- Quy định rõ ràng các tổ chức, cá nhân trong và ngoài nước khi tham gia vào các hoạt động liên quan đến thị trường chứng khoán Việt Nam đều thuộc đối tượng điều chỉnh của Quyết định này.
- Các đối tượng phải thực hiện nghĩa vụ nộp phí và lệ phí bao gồm các tổ chức phát hành chứng khoán, công ty chứng khoán, công ty quản lý quỹ, các nhà đầu tư và các tổ chức cung cấp dịch vụ phụ trợ khác.
- Việc xác định rõ đối tượng áp dụng giúp đảm bảo tính công bằng, minh bạch và ngăn ngừa các hành vi trốn tránh nghĩa vụ tài chính trên thị trường.
- Cơ chế quản lý, thu nộp và sử dụng nguồn thu (Điều 3)
- Ủy ban Chứng khoán Nhà nước được giao nhiệm vụ tổ chức thu, quản lý và sử dụng nguồn thu từ phí và lệ phí chứng khoán theo đúng chế độ tài chính hiện hành của Nhà nước.
- Quy định rõ tỷ lệ phân bổ nguồn thu giữa ngân sách nhà nước và phần được để lại cho cơ quan thu để trang trải chi phí cho công tác quản lý, giám sát thị trường.
- Yêu cầu các đơn vị thu phí phải thực hiện mở sổ sách kế toán, theo dõi, quyết toán và báo cáo định kỳ với Bộ Tài chính theo đúng quy định pháp luật về ngân sách.
- Hiệu lực thi hành và trách nhiệm tổ chức thực hiện (Điều 4)
- Quyết định số 127/1999/QĐ-BTC có hiệu lực thi hành sau 15 ngày kể từ ngày ký ban hành (ngày 22 tháng 10 năm 1999).
- Mọi quy định trước đây về phí và lệ phí áp dụng cho hoạt động thị trường chứng khoán trái với Quyết định này đều bị bãi bỏ.
- Các cơ quan trực thuộc Bộ Tài chính, Ủy ban Chứng khoán Nhà nước và các tổ chức, cá nhân liên quan chịu trách nhiệm thi hành nghiêm túc các điều khoản được quy định trong văn bản này.

PROMULGATING THE BRACKET OF CHARGES AND FEES APPLCABLE TO SECURITIES MARKET ACTIVITIES
THE MINISTER OF FINANCE
Pursuant to the Government's Decree No.15/CP of March 2, 1993 on the tasks, powers and State management responsibilities of the ministries and ministerial-level agencies;
Pursuant to the Government's Decree No.178/CP of October 28, 1994 on the tasks, powers and organizational structure of the Ministry of Finance;
Pursuant to the Government's Decree No.04/1999/ND-CP of January 30, 1999 on the fees and charges belonging to the State budget;
Pursuant to the Government's Decree No.48/1998/ND-CP of July 11, 1998 on securities and securities market;
After consulting the State Securities Commission (in Official Dispatch No.141/UBCK of October 14, 1999);
At the proposal of the General Director of Tax,
DECIDES
Article 1
Article 2. The agency(ies) collecting the charges and fees for the State management over securities market activities shall carry out the registration, declaration and payment of fees with the tax authorities of localities where such fees are to be collected according to provisions of the Ministry of Finance's Circular No.54/1999/TT-BTC of May 10, 1999 guiding the Government's Decree No.04/1999/ND-CP of January 30, 1999 on the fees and charges belonging to the State budget.
Article 3. Organizations and individuals engaged in securities market activities shall have to pay charges and fees stipulated in this Decision

Article 5. This Decision takes effect 15 days after its signing.
Article 6. Organizations and individuals liable to pay charges and fees for securities activities, units tasked by the State Securities Commission to organize the collection of charges and fees, and the concerned agencies shall have to implement this Decision.
